Introduction
These Terms of Service govern your access to and use of AccessMeds, including the website, dashboards, catalogue, ordering tools, inventory tools, point-of-sale features, wallet and payment features, delivery workflows, reports, support services, and any related services we make available.
By creating an account, signing in, submitting information, placing an order, accepting project participation, or otherwise using AccessMeds, you agree to these Terms. If you are using AccessMeds on behalf of a business, facility, project, supplier, or organization, you confirm that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you should not create an account or use AccessMeds.
Definitions
In these Terms:
- AccessMeds means the digital platform and services provided under the AccessMeds product name.
- User means any person or organization that accesses or uses AccessMeds, including vendors, suppliers, drivers, staff, project administrators, and other approved users.
- Vendor means a pharmacy, PPMV, clinic, hospital, distributor, healthcare provider, or other buyer or facility using AccessMeds to manage procurement, inventory, sales, or related operations.
- Supplier means an approved organization or user that lists, supplies, fulfils, or manages products through AccessMeds.
- Project means a programme, intervention, donor initiative, sponsor-supported activity, implementation project, or managed group that uses AccessMeds for inventory visibility or healthcare supply coordination.
- Project stakeholders means authorized project owners, project administrators, programme managers, sponsors, donors, implementation partners, or other approved users connected to a project.
Eligibility and Accounts
You may use AccessMeds only if you are authorized to do so and can comply with these Terms. Account access may be limited to approved businesses, facilities, suppliers, drivers, project users, or staff.
You agree to:
- Provide accurate, complete, and current registration information
- Use a valid email address and phone number that you can access
- Keep your login credentials confidential
- Accept responsibility for activity carried out under your account
- Notify us promptly if you suspect unauthorized access or misuse
- Ensure staff accounts are assigned only to authorized personnel
- Remove or update staff access when a role changes or employment ends
We may reject, suspend, or close an account if information is false, incomplete, misleading, unverifiable, fraudulent, unlawful, or inconsistent with platform or project requirements.
Platform Services
AccessMeds provides tools that may include registration, onboarding, business verification, catalogue browsing, product ordering, custom product requests, inventory management, POS sales, customer records, invoicing, wallet and payment workflows, credit workflows, delivery tracking, reports, notifications, support, and project-related inventory visibility.
Features may vary by user role, subscription, facility type, project, location, supplier availability, account status, and backend configuration. We may add, modify, suspend, or remove features from time to time to improve the platform, meet operational needs, comply with law, or support project requirements.
Project Participation
If you register with a project code, are added to a project, or use AccessMeds as part of a supported project, your account may be linked to that project for coordination and inventory visibility.
You agree that authorized project stakeholders may access project-related inventory information for the relevant project.
Project access is limited to inventory data and inventory-related activity that is relevant to the project. This may include:
- Product names, product categories, pack sizes, SKUs, and item identifiers
- Opening stock, current stock, closing stock, and available quantity
- Stock received, stock issued, stock adjusted, and stock counted
- Low-stock, out-of-stock, overstock, expiry, and reorder indicators
- Batch, lot, expiry date, and inventory status where these are recorded
- Inventory movement timestamps, adjustment reasons, and responsible user records
- Project-related inventory summaries needed for stock visibility and planning
Project stakeholders may use this information to monitor stock availability, support inventory planning, resolve inventory-related issues, meet project reporting obligations, and improve healthcare supply outcomes.
These Terms do not grant project stakeholders access to your payment, credit, subsidy, reimbursement, delivery, customer, private account, or non-inventory business records unless separately authorized by you, required by law, or covered by another written agreement.
You are responsible for keeping project-related inventory records accurate, timely, and complete where the project depends on those records for stock visibility, planning, or support.
Vendor Obligations
If you use AccessMeds as a vendor, you agree to:
- Maintain accurate business, license, tax, contact, and bank details
- Use the platform only for lawful healthcare supply and business purposes
- Keep product, inventory, customer, invoice, and sales records accurate
- Review order details before submission
- Comply with applicable healthcare, pharmacy, tax, consumer, and data laws
- Use products, credit, wallet, and payment features responsibly
- Respond promptly to verification, compliance, support, and dispute requests
- Protect customer and third-party information entered into the platform
You must not use AccessMeds to purchase, sell, request, list, divert, or distribute products in a manner that is unlawful, unsafe, misleading, unauthorized, or inconsistent with approved healthcare supply practices.
Supplier Obligations
If you use AccessMeds as a supplier or fulfilment partner, you agree to:
- Provide accurate product, pricing, availability, and fulfilment information
- Maintain appropriate licenses, permits, and compliance documentation
- Supply products that meet applicable quality, regulatory, and safety requirements
- Update stock, order, and delivery information promptly
- Resolve fulfilment issues, discrepancies, complaints, and returns in good faith
- Use vendor and customer information only for authorized platform purposes
Orders and Products
Product listings, prices, promotions, quantities, availability, and delivery timelines may change. AccessMeds may display information supplied by suppliers, administrators, or other third parties.
- Orders are subject to product availability, verification, and acceptance
- Submitting an order does not guarantee fulfilment until confirmed
- Products may be substituted, delayed, cancelled, or partially fulfilled where necessary
- You are responsible for checking order details before submission
- Any product issue should be reported promptly through approved support channels
AccessMeds may facilitate ordering, communication, and fulfilment, but suppliers and fulfilment partners may remain responsible for product availability, product quality, dispatch, and other supply obligations assigned to them.
Inventory and POS Tools
Inventory, POS, invoice, customer, and reporting tools are provided to support business operations. You are responsible for reviewing and validating records entered by you, your staff, barcode scanners, uploads, offline tools, integrations, or imported files.
- Inventory figures may depend on accurate user entry and timely updates
- Offline or cached records may require syncing before dashboards are current
- Stock alerts, expiry alerts, and reports are decision-support tools only
- You remain responsible for physical stock counts and business controls
- You should correct inaccurate records as soon as you identify them
Payments, Wallet, and Credit
AccessMeds may support wallet balances, payment gateways, bank transfers, virtual accounts, USSD payments, credit applications, repayment workflows, subscription payments, refunds, and related financial records.
- You are responsible for ensuring sufficient funds before transactions
- Payment processing may depend on banks, payment processors, or third-party providers
- Transaction status may take time to update after provider confirmation
- Credit approval, limits, repayment terms, and eligibility may be separately assessed
- Fees, charges, interest, discounts, or subscription terms may apply where displayed or agreed
You must not attempt chargeback abuse, payment manipulation, wallet misuse, fraudulent refunds, unauthorized credit applications, or any activity intended to avoid valid payment obligations.
Delivery and Fulfilment
Delivery and fulfilment timelines may vary based on product availability, supplier processing, payment confirmation, location, route, driver availability, weather, infrastructure, security, regulatory checks, or other operational factors.
- Tracking information is provided for operational visibility
- Exact delivery times are not guaranteed unless expressly agreed
- You must provide accurate delivery and contact details
- Delivery discrepancies, shortages, damages, or failed deliveries should be reported promptly
- Proof of delivery, delivery notes, or recipient confirmation may be required
Acceptable Use
You must not:
- Use AccessMeds for unlawful, fraudulent, harmful, or misleading activity
- Access, copy, alter, or use another user's data without authorization
- Upload false, malicious, infringing, or unlawful content or documents
- Interfere with platform security, availability, or performance
- Reverse engineer, scrape, overload, probe, or bypass platform protections
- Share login credentials or create accounts for unauthorized users
- Use the platform to distribute spam, malware, or deceptive communications
- Misrepresent product availability, stock levels, payment status, or delivery status
Data and Privacy
Our Privacy Policy explains how AccessMeds collects, uses, shares, protects, and retains information. By using AccessMeds, you acknowledge the Privacy Policy and agree to provide any notices or obtain any permissions required before entering third-party information into the platform.
You remain responsible for the accuracy and lawful use of customer, staff, patient-adjacent, driver, supplier, or other third-party data that you or your staff enter into AccessMeds.
Third-Party Services
AccessMeds may rely on third-party services, including hosting providers, payment processors, banks, delivery partners, email services, analytics tools, file storage services, and support tools. Those services may have their own terms, privacy notices, service levels, and operational limitations.
We are not responsible for third-party failures outside our reasonable control, but we may work with relevant providers to investigate and resolve issues where appropriate.
Intellectual Property
AccessMeds, including its interface, software, workflows, content, designs, logos, documentation, and platform materials, is owned by us or our licensors and is protected by applicable intellectual property laws.
You may use AccessMeds only for authorized platform purposes. These Terms do not transfer ownership of AccessMeds, its software, its branding, or its intellectual property to you.
Support and Communications
We may contact you through the platform, email, SMS, phone calls, WhatsApp, notifications, or other channels for account, security, order, payment, delivery, support, project, policy, or operational purposes.
Support responses may depend on issue complexity, third-party providers, supplier input, project requirements, or verification needs. You agree to provide accurate information when submitting support requests.
Suspension or Termination
We may suspend, restrict, or terminate access if:
- You violate these Terms or any applicable policy
- Information provided by you is false, incomplete, or unverifiable
- Fraud, misuse, security risk, or harmful activity is suspected
- Required payments, subscriptions, or repayments are overdue
- Regulatory, legal, supplier, or project requirements require restriction
- Your account is inactive or no longer eligible for platform access
Suspension or termination may affect access to orders, inventory, wallet features, reports, subscriptions, project features, and other platform functions.
Disclaimers
AccessMeds is provided on an "as is" and "as available" basis to the extent permitted by law. We aim to provide a reliable platform, but we do not guarantee that AccessMeds will always be uninterrupted, error-free, fully secure, or available at all times.
Platform reports, analytics, stock alerts, credit indicators, delivery statuses, and other outputs may depend on user input, third-party data, network availability, and backend processing. You should independently verify important business, stock, financial, regulatory, and operational decisions.
Limitation of Liability
To the maximum extent permitted by law, AccessMeds and its operators will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost revenue, business interruption, loss of data, loss of goodwill, or missed opportunities arising from your use of the platform.
Nothing in these Terms limits liability that cannot legally be limited or excluded under applicable law.
Indemnity
You agree to indemnify and hold AccessMeds, its operators, affiliates, officers, employees, partners, and service providers harmless from claims, losses, damages, liabilities, costs, and expenses arising from:
- Your breach of these Terms
- Your misuse of AccessMeds
- Information, documents, or data submitted by you or your staff
- Your violation of law or third-party rights
- Your products, business operations, customers, staff, or transactions
Changes to Terms
We may update these Terms from time to time to reflect changes in the platform, services, projects, law, operational needs, or business requirements. Updated Terms may be posted on the platform or communicated through appropriate channels.
Continued use of AccessMeds after updated Terms become effective means you accept the updated Terms.
Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.
Where a dispute arises, the parties should first attempt to resolve it in good faith through support or business escalation channels before pursuing formal remedies, unless urgent legal action is required.
